The Bylaws are our legal governing document, approved by the member-owners. Any changes must be voted on by a quorum of members at a membership meeting.
The Alberta Coop operates using the policy governance model, meaning the board of directors sets broad policy and monitors for compliance with that policy. Under this model, “the Board determines what change the organization will make in the world (the ‘Mission’) then focuses the Mission in terms of ‘what good, for whom, at what cost’ (the ‘Ends’, or organizational outcomes) and finally sets the broadest appropriate limits for how we should achieve our Ends and thus our Mission (the ‘Policies’)” (Julie Cross, Davis Food Coop). Policies include “Management Limitations” that restrict how management can go about achieving ends, and “Governance” which talk about how the board conducts itself. As an internal document of the board, the policy register is approved and revised by the board as needed.
